VaultsPay Digital Card Terms of Use for Digital Pass-through Wallets.

Introduction

This document provides a consolidated and analytical overview of the Terms and Conditions (T&Cs) applicable for cards issued by The Vault International Payments L.L.C. and are added to pass-through wallets like Samsung Pay, Apple Pay, Google Pay etc)

1 Scope and acceptance

Applicability - These terms apply when a VaultsPay customer adds a VaultsPay-issued credit/debit card (the "Card") to a pass-through wallet like Samsung Pay/Apple Pay/Google Pay etc). By checking the "I agree" box during enrolment, the cardholder confirms that they have read and accepted the Wallet Terms and Conditions. Use of the wallet also confirms acceptance of the existing cardholder agreement(s). The cardholder must not add the Card or use the wallet unless they agree to these terms.

UAE laws - These terms should be read together with VaultsPay's general banking terms and any product-specific agreements. Applicable law is that of the United Arab Emirates. If any part of these terms is unenforceable, the remainder remains in force.

2 Definitions

Card / Mobile Card - A digital representation of the card on the wallet. Samsung Wallet calls this a "Mobile Card".

Supported devices - Only compatible Samsung or Apple devices may be used. The cardholder must ensure that their device is not "rooted" or modified in a way that disables security controls. Not all devices support in-app and contactless payments.

Passcode/biometric authentication - The cardholder must use a strong device passcode or biometric authentication. The consumer device cardholder verification method (biometrics or pattern) replaces the card's PIN when paying.

3 Adding and using a Card

Account ownership and accuracy - The user represents that they are the legal owner of the account and that all information provided is accurate and complete. They must not misrepresent their identity or account information.

Eligibility - Cards may only be loaded if they are valid, not cancelled or blocked, and the account is in good standing. VaultsPay may decline to provision a card at its discretion.

Tokenisation - When the card is added, its number is converted into a token (device-specific account number) that is stored on the device. This token is used for purchases and may continue to work even without mobile service. The physical card number is not shared with merchants.

Transaction process - To make a payment, the user selects their card in the pass-through wallet like Samsung Pay/Apple Pay/Google Pay etc) and authenticates (biometric, passcode or pattern). Payment is authorised by holding the device near a contactless terminal or following in-app instructions. Once authorised, payments cannot be stopped

Merchant acceptance - Samsung Pay, Apple Pay & Google Pay can be used only where contactless payments are accepted. VaultsPay does not guarantee acceptance and is not responsible for merchant or terminal failures.

4 Relationship with existing agreements

Card terms unchanged - Adding a card to Samsung Pay or Apple Pay does not change the cardholder's existing cardholder agreement. Interest, fees and charges associated with the card continue to apply. Disputes regarding purchases are governed by the underlying card agreement and applicable law.

Third-party terms - Cardholders must also abide by the terms and privacy policies of Samsung, Apple, Google, the payment networks (e.g., Visa or Mastercard, Jaywan) and any wireless service provider.

VaultsPay does not own or operate Samsung Pay or Apple Pay and is not responsible for their services. Fees (such as mobile data charges or wallet-provider fees) imposed by third parties are borne by the user.

5 Fees

Vaults Pay fees - Vaults Pay does not currently charge a fee for using the Card in Samsung Pay or Apple Pay/Google Pay.

Third-party charges - Samsung Pay, Apple Pay, mobile operators or internet providers may charge fees for data usage or wallet services. The cardholder is responsible for these charges.

6 Security, responsibility and data

Protecting the device - Cardholders must keep their device secure, use a passcode or biometrics, and ensure no one else registers their biometric information. They should not store their card in another person's wallet or leave the device unattended. If the device is lost, stolen or compromised, the user must immediately remove the card from the wallet and notify VaultsPay.

Fraud prevention and monitoring - For Apple Pay, Apple uses device and account information to develop fraud-prevention assessments; only the assessment results (not the raw data) are shared with payment networks. Apple does not provide merchants with the card number. Apple may also create merchant-specific account numbers for recurring payments.

Information sharing - By adding a card, the user consents to VaultsPay and its affiliates sharing information with pass-through wallet like Samsung Pay/Apple Pay/Google Pay, payment networks and third parties to operate the service. For example, card transaction details (such as last 10 transactions) may be accessible in the wallet. VaultsPay may collect, transmit and use technical and usage data (device identifiers, IP address, location) to verify identity and validate the device.

User responsibility for credentials - Users must keep passwords, passcodes and wallet credentials confidential. Sharing these credentials may allow others to use the card and access personal data. The cardholder is responsible for any activity on the device.

7 Suspension, termination and changes

Suspension or cancellation - VaultsPay may suspend or cancel the card's use in Samsung Pay or Apple Pay at any time without notice for any reason, including suspected fraud, account delinquency or violation of terms. Samsung or Apple may also remove the card without notice (e.g., if the card expires, a fraud is detected, or the payment network instructs removal).

User termination - The cardholder may remove their card from the wallet at any time through the wallet settings. Removing the card will terminate these terms for that card, but the underlying card agreement remains in force.

Changes to terms - VaultsPay may change these terms at any time and will notify users by posting an updated version on its website or by email. Continued use of the wallet after changes constitutes acceptance of the revised terms

8 Liability and warranties

No warranties - Use of Samsung Pay or Apple Pay/Google Pay is at the cardholder's own risk. VaultsPay does not warrant the accuracy, completeness or reliability of information shown in the wallet and makes no guarantees about the service.

Limitation of liability - VaultsPay (including its affiliates and employees) will not be liable for any direct or indirect losses or damages (including loss of profits, data loss or business interruption) arising out of the use or inability to use the card within Samsung Pay or Apple Pay. VaultsPay is not liable for any failure or performance of the wallet service provider (Samsung or Apple or Google).

Indemnity - The cardholder agrees to indemnify and hold VaultsPay and its affiliates harmless from any claims, losses, damages or expenses arising from misuse of the wallet or violation of these terms.

9 Dispute resolution and governing law

Disputes involving transactions - Problems with goods or services purchased via Samsung Pay or Apple Pay or Google Pay, should first be taken up with the merchant. The Cardmember Agreement and applicable UAE law govern any disputes about transactions or billing. Disputes about the wallet - VaultsPay and the cardholder agree to resolve disputes concerning wallet usage under the governing law and dispute resolution clauses of the underlying card agreement or, where applicable, under any arbitration provisions.

10 Intellectual property

Trademarks and rights - Samsung Pay, Samsung Wallet, Apple Pay, Apple Wallet, Google Pay, Google wallet are trademarks of Samsung Electronics Co., Ltd. or Apple Inc. and Google.L.L.C. VaultsPay does not grant any rights or licences beyond what is needed to use the wallet service.
